Join the Salt Lake City office in the Emerging Companies & Venture Capital (ECVC) practice.
Requires 3 to 5 years of experience representing startups, emerging growth/technology companies, their founders, and venture capital investors.
Counsel founders and emerging companies on entity formation, corporate governance, and equity incentive structures.
Draft and negotiate venture capital financing documents, including preferred stock purchase agreements, investor rights, voting, rights of first refusal, and co-sale agreements.
Advise on convertible note and SAFE transactions.
Provide general corporate counsel to clients throughout their growth cycle, from seed stage through late-stage and pre-IPO.
Experience advising both company-side and investor-side clients in the venture capital context is required.
Demonstrate familiarity with market-standard venture financing terms and documentation (e.g., NVCA model documents).
Possess experience with Delaware corporate law, startup equity compensation plans (e.g., stock option plans, RSU programs, 409A valuations), and corporate governance for privately held technology companies.
Strong law school academic credentials are required, along with bar admission (or eligibility to obtain promptly) in Salt Lake City.
The salary for this position ranges from $260,000 to $365,000, which may vary based on skills and experience. Comprehensive benefits include medical, dental, vision, life, and AD&D insurance, a 401(k) savings plan, and back-up childcare and eldercare.
