Overview

Securities & Capital Markets Associate position located in Richmond, VA.
The practice focuses on borrower-side debt finance, advising corporate borrowers and private equity sponsors on transactions including secured/unsecured facilities, acquisition financings, recapitalizations, going-private deals, and fund finance.
Work with partners specializing in commercial lending, loan workouts, fund finance, and out-of-court restructurings.
Core responsibilities involve representing clients in leveraged finance transactions; drafting, reviewing, and negotiating financing documents (e.g., credit agreements, security documents, intercreditor agreements, commitment papers).
Manage due diligence, deal execution, and closing processes; advise clients on capital structure, market terms, and transaction strategy.
Assist with debt covenant analysis, compliance, waivers, amendments, and forbearance agreements.
Required: JD from a nationally recognized law school with demonstrated high academic achievement.
Required: 1-5 years of experience representing corporate borrowers, private equity sponsors, and/or lenders in debt financing transactions.
Required: Admission to the Virginia State Bar.
Candidates must demonstrate strong attention to detail, interpersonal skills, ability to manage multiple projects, and willingness to leverage AI tools (e.g., Harvey AI) for legal work.
Preferred experience includes secured lending, Article 9 Uniform Commercial Code (UCC) knowledge, acquisition financing, M&A transactions, and general corporate law.
This role operates under a hybrid work model.
