Overview

  • Securities & Capital Markets Associate position located in Richmond, VA.
  • The practice focuses on borrower-side debt finance, advising corporate borrowers and private equity sponsors on transactions including secured/unsecured facilities, acquisition financings, recapitalizations, going-private deals, and fund finance.
  • Work with partners specializing in commercial lending, loan workouts, fund finance, and out-of-court restructurings.
  • Core responsibilities involve representing clients in leveraged finance transactions; drafting, reviewing, and negotiating financing documents (e.g., credit agreements, security documents, intercreditor agreements, commitment papers).
  • Manage due diligence, deal execution, and closing processes; advise clients on capital structure, market terms, and transaction strategy.
  • Assist with debt covenant analysis, compliance, waivers, amendments, and forbearance agreements.
  • Required: JD from a nationally recognized law school with demonstrated high academic achievement.
  • Required: 1-5 years of experience representing corporate borrowers, private equity sponsors, and/or lenders in debt financing transactions.
  • Required: Admission to the Virginia State Bar.
  • Candidates must demonstrate strong attention to detail, interpersonal skills, ability to manage multiple projects, and willingness to leverage AI tools (e.g., Harvey AI) for legal work.
  • Preferred experience includes secured lending, Article 9 Uniform Commercial Code (UCC) knowledge, acquisition financing, M&A transactions, and general corporate law.
  • This role operates under a hybrid work model.
