Overview

  • Serve as a Paralegal in the Structured Transactions Practice Group, located in Washington, D.C., working a hybrid in-office/remote schedule.
  • Manage deal closings, including handling all closing mechanics, compiling and distributing final deal documentation, and assembling post-closing sets.
  • Draft a variety of legal documents, such as agreements, transaction documentation, officer certificates, resolutions, and incumbency certificates.
  • Prepare and review SEC filings, UCC financing statements/amendments, and specimen securities.
  • Communicate frequently with high-profile clients and third parties, and liaise with corporate service companies for various orders.
  • A Bachelor's degree from an accredited institution is a mandatory requirement.
  • The work schedule is 8:30 a.m. - 5:30 p.m., with required flexibility for overtime and potential occasional travel.
  • Proficiency in Microsoft Office (Outlook, Word, Excel) and PDF software is essential.
  • Requires excellent oral and written communication skills, strict attention to detail for document review and preparation, and the ability to multitask effectively under time constraints.
  • Must be a self-starter who takes ownership of projects, possesses strong analytical skills to interpret complex information, and operates as a collaborative team player.
  • The salary range for this Washington, D.C. based role is $64,700 to $103,475, with a comprehensive benefits package potentially included.
