This is a Junior Career Associate position, a long-term, non-partnership-track role within the Fund Formation practice.
The practice primarily advises venture capital, growth equity, impact, and crossover fund managers, as well as institutional limited partners.
Responsibilities include drafting and reviewing limited partnership agreements, private placement memoranda, subscription documents, and side letters, with exposure to both sponsor-side and investor-side representations.
Required: J.D. from an accredited law school and 1-2 years of transactional legal experience (from law school clinics, internships, clerkships, or early associate work).
Active bar membership (or eligibility for prompt admission) in West Virginia or Pennsylvania is required.
Preference for candidates with strong academic credentials, excellent written and verbal communication skills, attention to detail, and coursework/interest in securities regulation, investment management, corporate law, or partnership taxation.

The preferred office location is Wheeling, WV, with remote working available from the Pittsburgh, PA area.
The expected salary range for this position is $130,000 - $160,000, plus an annual discretionary merit bonus.
