Overview

The role primarily focuses on executive and equity compensation, specifically in connection with strategic M&A and private equity transactions, alongside providing day-to-day advice and counseling.
The Compensation & Benefits group advises public companies, innovative high-growth businesses, and their investors on a wide range of compensation and benefits matters.
Responsibilities include evaluating and resolving executive pay and benefits considerations during M&A, private equity, and other corporate deals.
Work involves drafting and advising on the design of equity and cash incentive plans and executive employment agreements, as well as preparing SEC-required compensation and benefits disclosures for securities filings.
Candidates are ideally sought with experience or a desire to work with growth-stage technology and life sciences companies and investors; experience advising on qualified retirement plans, ESOPs, and health and welfare plans is a plus.
