Overview

  • Support legal services by managing complex projects independently, including maintaining confidential client information and improving workflow for material storage and recall.
  • Oversee IPO transaction tasks such as drafting checklists, attending due diligence meetings, proofreading legal documents, and coordinating site visits.
  • Prepare and proofread various deal documents including disclosures, exhibits, SEC filings, questionnaires, financing statements, purchase agreements, and merger agreements, providing pre-closing, closing, and post-closing assistance.
  • Conduct non-legal and legal research, perform due diligence, and prepare correspondence, audit letters, working group lists, and closing checklists.
  • Required: a bachelor's degree and an understanding of corporate and securities law, including SEC regulations. A paralegal certificate from an ABA-approved program is preferred.
  • Required: strong research skills with proficiency in legal software like Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, and Carta.
  • Preferred: prior experience in a legal or financial setting, particularly in capital markets or corporate finance; experience in IPO and public company matters (e.g., registration statement backup, beneficial ownership tables, '34 Act, Section 16 reporting, Rule 144, transfer agent onboarding, stock exchange applications, FINRA filings, closing documents).
  • California-based paralegals must meet qualifications and continuing education requirements per California Business and Professions Code, Section 6450 et seq.
