Overview

  • The role is for a Project Finance Of Counsel, based in Paul Hastings' New York City office.
  • Provide legal advice on project, structured finance, and credit transactions, with a strong emphasis on digital infrastructure (e.g., data centers, fiber).
  • Represent large financial institutions, including banks, underwriters, and initial purchasers, in syndicated credit facilities and U.S. private placements.
  • Handle domestic U.S. and U.S.-Latin America cross-border financings.
  • Manage transactions from initiation to completion, negotiate legal documentation and strategies, and structure multi-jurisdictional guarantor and collateral packages.
  • Supervise associates, paralegals, and other professional staff, including reviewing their work product.
  • Develop client relationships, source new business, co-lead client pitches, and contribute to thought leadership.
  • Requires a Juris Doctor degree and at least 8 years of project finance experience from an international law firm, representing large banks, note purchasers, or sponsors in the energy and infrastructure sectors.
  • Requires 5+ years of experience working on structured finance and credit transactions in energy and infrastructure (including bank lending and U.S. private placements); drafting/negotiating complex financial agreements (e.g., credit agreements, note purchase agreements, security documents, ISDA forms); reviewing project-related contracts (e.g., construction, data center leases, PPAs); and preparing client summaries and due diligence memoranda.
  • Requires at least 3 years of experience supervising legal teams and performing client management.
  • Must be licensed to practice law in New York State.
  • The annual salary range for this position is $455,000 to $460,000.
  • The position is based in the New York office; telecommuting is permitted, but you must reside within commuting distance.
