Overview

  • Serve as a Corporate Paralegal, providing high-level corporate and transactional support to attorneys and clients in the Emerging Companies & Venture Capital practice group.
  • Manage corporate maintenance, including drafting and filing incorporation, formation, amendment, dissolution, and withdrawal documents for Corporations, LLCs, LPs, and LLPs.
  • Lead and assist with closings for financings, mergers, and acquisitions, including conducting corporate diligence reviews and summarizing findings.
  • Prepare and draft agreements for securities transfers, conduct and analyze UCC searches, and prepare UCC-1 and UCC-3 financing statements.
  • Maintain organized corporate records, manage electronic data sites, and coordinate shareholder mailings and regulatory filings.
  • Conduct factual research on statutory requirements and assist with training, supervising, and coordinating workloads for other paralegals.
  • Requires at least 6 years of experience as a corporate paralegal, working with either public or privately held companies.
  • A 4-year degree in a related field or equivalent is required; a paralegal certificate or degree is preferred.
  • Strong knowledge of California and Delaware corporate law, federal and state securities laws, private company M&A, and proficiency in capitalization management platforms (e.g., Carta, Shareworks) is required.
  • Experience with IPOs, public company matters (e.g., beneficial ownership tables, Section 16 reporting, Rule 144), and secured lending is preferred.
  • This San Francisco-based position offers an annual salary range of $95,070 to $213,900; actual offers typically fall within the lower to mid-range of this range.
  • Benefits include a discretionary annual bonus, 401(k) plan, medical, dental, and vision insurance, and an accrued paid time off plan starting at 20 days annually.
