Overview

  • Serve as a Corporate Paralegal in the Emerging Companies & Venture Capital practice group, supporting lawyers and clients with high-level corporate and transactional duties.
  • Manage corporate maintenance for a diverse client portfolio, including drafting and filing incorporation, amendment, dissolution, and withdrawal documents for various entity types (Corporations, LLCs, LPs, LLPs).
  • Conduct UCC searches, prepare financing statements (UCC-1/UCC-3), and maintain comprehensive corporate records, including ownership ledgers and state/federal filings.
  • Draft securities transfer agreements, manage closings for financings, mergers, and acquisitions, and conduct corporate diligence reviews with summarized findings.
  • Organize and maintain electronic data sites, manage shareholder mailings, and ensure compliance with regulatory filings.
  • Train and supervise other paralegals, coordinate workloads, and manage attorney/client requests with external vendors.
  • The role requires a minimum of 6 years of corporate paralegal experience, working with public and/or privately held companies.
  • A 4-year degree in a related field or equivalent is required; a paralegal certificate or degree is preferred.
  • Essential skills include strong knowledge of California and Delaware corporate law, federal/state securities laws, private company M&A, and proficiency in MS Office, Adobe Acrobat, Excel, and capitalization management platforms (e.g., Carta, Shareworks).
  • Preferred experience covers IPO and public company matters, including beneficial ownership tables, Section 16 reporting, Rule 144, legend removal letters, and secured lending.
  • The compensation range for the San Francisco location is $95,070 to $213,900 annually; actual offers depend on experience and skills, with new hires rarely receiving the top of the range.
  • Comprehensive benefits include an annual discretionary bonus, 401(k), medical, dental, and vision insurance, 20 days of paid time off, personal medical/parental leave, and up to 10 paid holidays.
