The Corporate & Securities team advises public and private companies, issuers, underwriters, and investors on sophisticated securities offerings, capital-raising transactions, corporate governance, and regulatory compliance, providing strategic counsel through complex transactions and regulatory requirements.
The role requires substantial experience advising on and independently managing a broad range of capital markets and securities transactions, including initial public offerings (IPOs), deSPACs, reverse takeovers (RTOs), follow-on offerings, at-the-market offerings (ATMs), equity lines of credit (ELOCs), overnight wall-crossed offerings, private investments in public equity (PIPEs), and other public and private securities offerings.
Candidates must possess deep knowledge of federal securities laws, public company reporting and disclosure obligations, corporate governance, SEC compliance, FINRA rules, and NYSE and Nasdaq listing requirements.
Significant experience is required in drafting and managing registration statements, prospectuses, proxy statements, tender offer materials, periodic and current reports, beneficial ownership filings, and Section 16 filings.
The position involves taking a leading role in managing sophisticated transactions and public company matters, working directly with clients and supervising partners, and mentoring junior associates.
Experience supervising and mentoring junior associates, managing deal teams and workflow, and effective communication with various transaction participants (clients, underwriters, opposing counsel, auditors) is essential.
Ideal candidates will have experience at an AmLaw 100 firm or similar sophisticated capital markets practice, with a demonstrated ability to serve as a primary client contact and independently lead complex securities and public company matters.
Preferred experience includes contributing to business development initiatives, thought leadership, and the development of practice resources and knowledge management materials.
