Overview

  • Serve as a Mid-Level Associate specializing in Employee Benefits & Executive Compensation (EBEC) in Pittsburgh, PA.
  • Focus on transactional EBEC matters, advising clients and drafting related legal documents.
  • Conduct due diligence on employee benefit and executive compensation plans during M&A transactions, identify material risks, and prepare comprehensive reports.
  • Draft a variety of legal documents for pension, 401(k), and health and welfare plans (including ERISA wrap and Section 125 plans), such as amendments, restatements, and summary plan descriptions.
  • Prepare transaction-related agreements, including purchase agreements, ancillary agreements, and employment contracts.
  • Advise clients on the design and implementation of cash and equity-based incentive programs, covering stock options, restricted stock, retention, change-in-control, and severance plans for private companies.
  • Assist with the evaluation and administration of retirement and health and welfare plans, including preparing corrective filings under IRS programs and qualified plan determination letter filings.
  • Monitor and advise clients on new legal developments impacting qualified retirement and health and welfare plans to ensure compliance.
  • Requires a Juris Doctor (JD) or equivalent.
  • Must have a minimum of two years' experience drafting legal documents, performing due diligence, and providing client advice on employee benefit and executive compensation matters.
  • Admission to the Pennsylvania Bar is required.
  • The anticipated salary range for this position is $235,000 to $365,000, with actual pay varying based on factors like location and experience.
  • Telecommuting or working from home may be permissible, subject to firm policies.
  • Comprehensive benefits package includes a 401k, medical, dental, vision, life, and disability insurance, along with health savings and flexible spending accounts, paid family and sick leave, and vacation time.
