Overview

  • IP Transactions Associate position available in Silicon Valley, San Francisco, Boston, or New York.
  • Requires 3-5 years of experience in intellectual property transactions, technology licensing, or related practice areas.
  • Advise clients on transactional matters where intellectual property, technology, and brand assets are central to deal value, including mergers and acquisitions, joint ventures, strategic collaborations, carve-outs, divestitures, and investments.
  • Draft, review, and negotiate purchase agreements, IP licenses, assignments, software and cloud services agreements, and trademark arrangements.
  • Counsel clients on IP and technology issues related to product launches, digital transformation, e-commerce, advertising, media, and entertainment deals, including responsible AI use and deployment.
  • Provide practical guidance on trademark, copyright, patent, and data rights, including commercialization strategies and risk assessment for consumer-facing and technology-driven businesses.
  • Work with clients across technology, software, consumer retail, consumer brands, and media sectors, including private equity firms and strategic investors.
  • Requires demonstrated expertise in drafting and negotiating complex license agreements and other commercial agreements involving technology, software, data, and brand assets.
  • Proficiency in using AI technologies responsibly and ethically is expected.
  • Superior verbal and written communication skills, the ability to distill complex legal concepts for clients, and excellent interpersonal and client service skills are essential.
  • J.D. degree from an accredited law school and admission to practice in a relevant jurisdiction are required.
