Overview

Seeking a Capital Markets Associate with 3-5 years of post-qualification experience in capital markets or securities law.
Position is available in either the Boston or New York office.
Advise corporate issuers and major investment banks on complex securities transactions and regulatory matters.
Support public and private offerings, including equity and debt issuances, initial public offerings (IPOs), leveraged financing, and acquisition financings.
Draft and review offering documents (e.g., prospectuses, registration statements), SEC filings, corporate governance materials, and transaction agreements.
Guide clients through regulatory compliance, ongoing reporting, and disclosure obligations under relevant securities laws and regulations.
Conduct due diligence, identify legal risks, and research complex questions related to the 1940 Act, Advisers Act, Exchange Act, and rules of the SEC, FINRA, NYSE, and Nasdaq.
Must hold a J.D. degree from an accredited law school and be admitted to practice law in the relevant jurisdiction.
Required experience includes representing corporate issuers and major investment banks in equity capital markets financings, and advising on compliance, corporate governance, and strategic mergers and acquisitions.
Possess strong research, analytical, problem-solving, attention to detail, and organizational skills, with proficiency in drafting and negotiating transaction documents.
Maintain strong knowledge of securities laws, regulations, and market practices, and utilize AI technologies responsibly and ethically in legal work.
