Overview

  • Seeking a lateral associate for the Emerging Companies/Venture Capital (EC/VC) team in either Boston or New York.
  • Requires 3 to 6 years of substantial legal experience specializing in emerging company and venture capital transactions.
  • Advise early-stage companies on a range of matters, from formation through IPO or M&A exit.
  • Specific work for emerging companies includes founders’ arrangements, initial and subsequent equity financing rounds, securities law compliance, corporate governance, strategic relationships (supplier, distributor), and M&A/asset sales.
  • Counsel venture capital funds and institutional investors on investment structuring (e.g., preferred stock, SAFEs, convertible notes, warrants) and due diligence for target companies.
  • Advise investor clients on ongoing relationships with portfolio companies and strategies for investment exit.
  • Proficiency in drafting and negotiating transaction documents is required.
  • Must hold a J.D. from an accredited law school and be admitted to practice law in the relevant jurisdiction.
  • Demonstrate strong research, analytical, problem-solving, and organizational skills with attention to detail.
  • Must be proficient in using AI technologies responsibly and ethically in legal practice.
  • Compensation information is available in accordance with Massachusetts Pay Transparency Law.
