Directly advise real estate investment clients on structuring and negotiating vehicles to raise and deploy capital, including joint ventures, investment funds, co-investments, participating loan investments, mezzanine loans, preferred equity, convertible equity interests, trusts, private real estate investment transactions, leveraged corporations, sale-leasebacks, ground leases, synthetic and leveraged leases, and repurchase facilities.
Lead and organize transaction due diligence efforts for real estate transactions, including reviewing draft memoranda, supervising junior lawyers and experts, and preparing findings for clients. Negotiate and finalize agreements drafted by junior attorneys, such as joint venture agreements, purchase and sale agreements, property management agreements, and lease agreement summaries. Oversee transaction closing processes.
Serve as the primary point of contact for clients, outside advisors, and opposing counsel. Independently oversee real estate transactions with direct client counseling, particularly within the private equity and investment sectors. Responsibilities include analyzing legal and factual backgrounds to train clients and junior attorneys, as well as engaging in client relationship-building and business development activities.
