The role primarily focuses on real estate finance transactions, and capital stack & joint venture structuring, in response to sustained demand for Seattle-led transactions.
Work involves leading and supporting both lender- and borrower-side real estate finance transactions, including construction, bridge, and permanent loan facilities.
Draft and negotiate various loan documents, such as credit agreements, mortgages, deeds of trust, mezzanine loan documents, intercreditor agreements, and related financing instruments.
Advise on mortgage and mezzanine financing arrangements across a range of capital structures, and assist with complex, multi-layered financing transactions, including syndicated and balance sheet lending.
Support the structuring and formation of real estate joint ventures, including preparation and negotiation of joint venture agreements and related governance documents.
Advise on the full capital stack for real estate projects, including senior debt, mezzanine debt, and sponsor equity, and assist with preparing and reviewing private placement memoranda for capital raising efforts.
Coordinate with attorneys across other practice groups, including corporate and tax teams, on integrated transactions.
Supervise and mentor junior associates, paralegals, and other team members as appropriate.
Contribute to the continued growth of the real estate finance practice through business development support.
