Overview

  • This role is part of the firm's blue sky and securities compliance program, supporting its investment funds and corporate practices.
  • The position focuses on preparing and managing federal and state securities filings for private offerings, including Form ID applications, Form D notices (initial, amendments, annual updates) for private fund offerings, and Rule 701 filings for compensatory equity issuances.
  • Responsibilities include coordinating and managing blue sky filings across multiple state jurisdictions (notice filings, fee calculations, renewals, tracking requirements), conducting exemption analysis, and maintaining related compliance records and calendars.
  • The role involves communicating with fund formation attorneys and clients on filing status and requirements, and liaising with state securities regulators and EDGAR filer support.
  • This attorney monitors state and federal regulatory changes affecting exempt offerings and blue sky compliance, and contributes to process improvement by developing program resources and assisting in paralegal training as the team grows.
  • Requires prior experience with securities filings, specifically Form D, Form ID, blue sky notice filings, and/or Rule 701 compliance, along with familiarity with EDGAR and state securities filing portals (e.g., NASAA electronic filing depository).
  • The position is suited for an attorney seeking to develop deep subject-matter expertise in exempt offerings and multi-state securities regulation through detail-oriented, deadline-driven compliance work.
