Overview

Managing Associate role within the M&A and Private Equity group, based in New York, NY.
Requires a Juris Doctor (JD) degree and at least three years of experience as an M&A and/or Private Equity lawyer.
Must be admitted to practice law in the state of New York.
Advise private equity sponsors (across market segments including middle market, large cap, and mega cap), portfolio companies, sovereign wealth funds, and asset managers on complex domestic and cross-border transactions.
Counsel on structured equity investments, complex joint ventures, and sector-specific transactions, with experience in manufacturing consolidation, environmental services buy-and-builds, and transportation logistics networks.
Structure, draft, and negotiate diverse transaction documents, including bespoke merger agreements, purchase agreements with industry-specific mechanics, LP/LLC agreements with tailored waterfalls, equity commitment letters, limited guarantees, and side letters.
Oversee legal due diligence and transaction execution from term sheet negotiation through post-closing integration, including representation and warranty insurance structuring, regulatory and licensing diligence for complex assets, and managing closing conditions.
Advise credit providers and lenders on acquisition financings across unitranche, first/second lien, mezzanine, and preferred equity structures, including negotiating equity kickers and warrants.
Provide corporate governance and board process advice to domestic and international technology companies, covering multijurisdictional regulatory compliance and strategic agreements.
Supervise junior associates and specialists throughout all stages of the transaction cycle.
Participate in cross-marketing and other new business development initiatives.
The base salary ranges from $310,000 to $365,000, complemented by bonus eligibility and a comprehensive benefits program.
