About the Team

You would be counseling a variety of clients.

About the Role

This Mid-Level Associate position involves providing legal counsel focused on executive compensation and benefits within complex transactional matters. The work encompasses public and private mergers and acquisitions, private equity, and other corporate transactions.

In this role, you'll

  • Analyze compliance of complex compensation and benefits matters with federal regulations, including the Internal Revenue Code (IRC), the Employee Retirement Income Security Act (ERISA), and Securities and Exchange Commission (SEC) rules.
  • Advise clients on executive compensation and benefits-related matters in public and private mergers and acquisitions, private equity transactions, and other corporate transactions.
  • Analyze, draft, and review executive compensation and benefits disclosures, equity incentive plans, employment agreements, and severance arrangements.
  • Draft S-8 prospectuses for employee benefits plans.
  • Analyze compensation clawback rules and draft related agreements.
  • Prepare change of control analysis to facilitate transactions.
  • Prepare issue lists, diligence reports, and executive summaries.
  • Prepare SEC forms, including definitive proxy statement Schedule 14A and public company annual, quarterly, and current reports (Form 10-K, 10-Q, and 8-K).

We're seeking someone with experience including

  • Juris Doctor (JD), Master of Laws (LLM) degree, or equivalent.
  • Minimum of two years of experience applying federal regulations (IRC, ERISA, SEC rules) to complex compensation and benefits matters.
  • Admission to practice law in the State of New York.
  • Demonstrated ability to advise clients on executive compensation and benefits in M&A, private equity, and other corporate transactions.
  • Proven experience in drafting and reviewing executive compensation and benefits disclosures, equity incentive plans, employment agreements, and severance arrangements.
  • Track record of preparing S-8 prospectuses, compensation clawback agreements, change of control analyses, issue lists, diligence reports, executive summaries, and various SEC forms (14A, 10-K, 10-Q, 8-K).
