Overview

This is a Mid to Senior-level Corporate Transactional Associate position.
The role can be based in Cincinnati, Cleveland, or Columbus, Ohio.
You must have a JD from an accredited law school, a strong academic record, and active admission to the Ohio Bar in good standing.
A minimum of 5 years of significant experience in corporate transactional matters, including M&A and securities, gained within a law firm, is required.
Core responsibilities include advising clients on complex mergers & acquisitions, joint ventures, and other corporate transactional matters, along with assisting in client relationship management.
The work involves a variety of transaction types, such as cross-border M&A, private equity, debt finance, capital markets, joint ventures, strategic alliances, commercial contracts, securities offerings, and corporate governance.
Key duties include drafting purchase agreements, ancillary documents, and third-party legal opinions; coordinating domestic and cross-border transaction teams; managing due diligence processes and data rooms; and negotiating aspects of corporate transactions.
Required professional skills include strong analytical, verbal, and written communication, and organizational abilities, coupled with effective teamwork, prioritization, and sound judgment.
The annual salary range for this position is $250,000 to $320,000, depending on skills and experience.
