Corporate Securities Associate position based in Phoenix, Arizona.
Requires 2-7 years of law firm experience managing US securities transactional and regulatory matters.
Core responsibilities include advising public and private companies on corporate and securities law, SEC disclosure, reporting, and compliance (e.g., '34 Act, proxy statements, annual meeting cycle).
Handle public and private equity and debt securities offerings and other capital markets transactions, including secured/unsecured debt, tax-exempt bonds, common stock, preferred stock, and convertible debt.
Advise on corporate governance, stock exchange listing requirements, board matters, and executive/equity compensation.
Manage transaction execution, conduct due diligence, negotiate corporate transaction aspects, and assist with client relationship management.
Candidates must hold a U.S. Juris Doctor Degree and be admitted to practice in a U.S. State Bar. Admission to the Arizona State Bar will be required.
