Draft, review, and negotiate transaction documentation (e.g., registration statements, prospectuses, underwriting agreements) and support public company clients with ongoing SEC reporting and disclosure matters.
Work on capital markets-adjacent M&A and strategic transactions, including tender offers, exchange offers, acquisitions, and divestitures.
Juris Doctor (or LL.M./foreign equivalent) and New York Bar admission (or eligibility to become admitted) are required.
Must possess strong drafting, analytical, negotiation, communication, organization, and time-management skills, along with commercial awareness and familiarity with SEC reporting requirements.
The salary range for this role is $310,000 - $390,000, with eligibility for performance bonuses.
The role reports directly to a Partner, offers meaningful responsibility on sophisticated domestic and cross-border matters, and operates in an in-person office setting.
