The New York Capital Markets practice is growing, having added two partners in the past year.
The role involves advising public and private companies, underwriters, investors, and financial institutions on a broad range of sophisticated domestic and cross-border equity and debt capital markets transactions, including IPOs, registered follow-on and secondary offerings, SPAC IPOs, de-SPAC transactions, direct listings, private placements, PIPEs, and ATM programs.
Key responsibilities include drafting, reviewing, and negotiating transaction documentation such as registration statements, prospectuses, underwriting agreements, securities purchase agreements, and offering memoranda.
The position requires supporting public company clients with ongoing SEC reporting and disclosure matters, including periodic reports, current reports, proxy materials, and SEC comment responses, and familiarity with these requirements.
Associates take ownership of key transaction aspects, manage drafting processes, and coordinate execution; they also work on capital markets–adjacent M&A and strategic transactions, including tender and exchange offers, acquisitions, divestitures, business combinations, joint ventures, and strategic collaborations, often collaborating with other practices.
The role involves contributing to the firm’s thought leadership through client alerts and SEC proposal comment letters, and developing a strong understanding of both the legal and commercial aspects of transactions.
