The Debt Finance Practice advises borrowers, lenders, and other financial institutions on all aspects of debt-related transactions and financial structuring, encompassing syndicated loans, leveraged buyouts, refinancing, and structured finance.
The practice assists clients with negotiating and drafting loan agreements, security documents, and related contracts, ensuring regulatory compliance, managing risks, and securing favorable financing terms by leveraging its extensive knowledge of global financial markets and regulations.
The role offers high-quality, internationally-oriented work on challenging bank finance and capital markets transactions, with opportunities to gain diverse experience in multi-jurisdictional deals across a wide range of industries by collaborating with finance partners and teams in other offices.
Core duties include drafting, reviewing, and negotiating commitment letters, term sheets, primary loan and security documentation, and ancillary deliverables; preparing issues lists and summary grids; and conducting legal research.
Associates will manage deal teams and processes from initial discussions through closing and post-closing, oversee and conduct due diligence, and serve as a primary point of contact for clients, opposing counsel, and other transactional legal teams.
Responsibilities also involve assisting clients with ongoing deal administration (e.g., joinders, amendments, interpretive questions, collateral matters) and providing direct assistance to senior lawyers on day-to-day legal services.
Mentoring and training junior team members are important aspects of this role, alongside attending and presenting educational seminars, and participating in continuing education classes and client development initiatives.
Preferred experience includes sponsored finance, syndicated lending, acquisition/leveraged finance (either borrower or lender side), and/or direct lending and private credit transactions.
Required qualifications include a strong academic record, intellectual curiosity, creative thinking, project management experience, commercial and business acumen, and fluency in English.
