Junior to Mid-Level Investment Funds Associate

• The practice advises leading international fund sponsors and large global investors on private funds and institutional investor matters, covering both sponsor-side and investor-side representation.
• Work involves sophisticated domestic and cross-border mandates across private equity, real assets, and other alternative investment strategies.
• Key responsibilities include advising on fund formations and capital raising activities, drafting fund documents, assisting with investor negotiations, and the documentation of side letters and similar arrangements.
• The role encompasses assisting with "GP stakes" transactions, seeding arrangements, and structuring investment management firms.
• Advise on primary and secondary transactions for private investment funds, including advising both buyers and sellers of interests in private investment funds and private asset portfolios, as well as institutional investor co-investments and related transactions.
• Work on investment management

adjacent M&A and strategic transactions, such as acquisitions, divestitures, business combinations, joint ventures, and strategic collaborations involving investment managers and other financial institutions.

• Collaborate with colleagues across finance, tax, regulatory, intellectual property, and M&A practices to deliver integrated, business-focused solutions.
• Matters handled span North America, EMEA, and APAC.

• Requires demonstrated experience in private fund formation and/or institutional investments into private funds, including familiarity with primary and secondary transactions.
• Requires familiarity with regulatory and marketing issues affecting private funds and investment managers, with both US and cross-border considerations.
