This is a Level 3 Associate position within an Investment Funds practice, focusing on private funds and institutional investors.
You will advise international fund sponsors and global investors on private fund formations, primary and secondary investments, and related regulatory and investment management matters.
Core responsibilities include structuring and documenting private funds, advising on investments into funds, and supporting clients on ongoing operational, governance, and regulatory issues.
The role involves advising on GP stakes and seeding arrangements, secondary transactions (buyers and sellers), and institutional investor co-investments.
You will draft and negotiate various transaction documentation, including offering memoranda and purchase agreements, and prepare SEC filings (e.g., periodic reports, proxy materials) for public and institutional clients.
Key tasks include managing transaction drafting processes and coordinating execution with internal and external teams.
You will collaborate with finance, tax, regulatory, intellectual property, and M&A practice groups on investment management-adjacent M&A and strategic transactions.
Work will encompass domestic and cross-border mandates spanning North America, EMEA, and APAC.
Required qualifications include a Juris Doctor (JD) or equivalent degree, admission to the New York Bar (or eligibility), and approximately 3 years of relevant experience in private funds, investment management, or transactional law.
Essential experience includes advising on private fund formation and/or institutional investments (including primary and secondary transactions), with familiarity in US and cross-border regulatory issues for private funds.
This is an in-person office position, reporting directly to a Partner.
