Overview

  • This is a Senior Associate position within a leading M&A Practice, focusing on complex corporate deals for multinational corporations, private equity firms, and banks.
  • Annual compensation for this role is between $310,000 and $390,000.
  • Key responsibilities include advising international and domestic corporate clients on cross-border public company strategic mergers, divestitures, and acquisitions, particularly large-capital (over $1 billion) and mid-capital (over $100 million) transactions.
  • You will lead the drafting, review, and negotiation of complex M&A transaction agreements (e.g., merger, share purchase, asset purchase), equity holder arrangements, and management incentive documentation.
  • The role involves managing deals for publicly listed clients, including leading the drafting and review of U.S. Securities and Exchange Commission (SEC) filings such as proxy statements, information statements, Form 8-K, and Form S-4.
  • You will oversee transaction due diligence, including reviewing material contracts, identifying legal issues, leading diligence calls, and liaising with clients. You will also conduct complex legal research and draft memoranda on M&A, private equity, public company transactions, and corporate governance for industries including infrastructure, renewables, oil/gas, tech, and health.
  • You will serve as a central client contact, engage in business development, aggregate feedback, and raise specialist legal issues. Additionally, you will lead and mentor junior associates, summer associates, and paralegals, providing guidance, delegating tasks, and reviewing their work.
  • Management duties include integrating and overseeing the work product of multi-office, multi-jurisdiction matter teams of up to 20 legal professionals.
  • Required qualifications include a J.D., LL.M., or U.S. equivalent, admission to the New York State Bar, and 3 years of professional experience as an Attorney, Associate, or Law Clerk providing M&A legal advice at an international law firm.
  • You must have 3 years of experience representing U.S. and foreign corporate clients in large-capital ($1B+) and mid-capital ($100M+) domestic and cross-border public M&A, divestitures, and acquisitions, including corporate restructurings, leveraged buyouts, asset sales, private equity investments, and corporate governance matters.
  • Specific experience required includes 3 years in managing due diligence processes (including drafting memos and leading calls, with focus on regulatory covenants and securities compliance) and advising on M&A infrastructure and project finance deals across a range of industries such as semiconductors, infrastructure, renewables, oil/gas, tech, cybersecurity, and health.
  • You need 3 years of experience drafting, reviewing, and negotiating corporate legal documentation (merger agreements, securities purchase agreements, partnership agreements, LLC operating agreements, rollover agreements, and management incentive equity arrangements). This also includes 3 years of experience with SEC filings for public M&A/SPAC transactions (proxy statements, Form 8-K, Schedule 13E-3), and coordinating antitrust (Hart-Scott-Rodino) and foreign direct investment (CFIUS) filings.
  • You must possess 3 years of professional experience advising clients on M&A deals in the Asia-Pacific and Middle East regions, specifically with major sovereign wealth fund clients.
  • Telecommuting is permitted up to one day per week; otherwise, the role requires reporting to the New York, NY office. This position reports directly to a Partner.
