Overview

  • Advise clients on complex, cross-border public and private M&A transactions, including mergers, acquisitions, divestitures, joint ventures, and other business combinations.
  • Lead the drafting, review, and negotiation of agreements for large-capital (over $1 billion) and mid-capital (over $100 million) M&A transactions, equity holder arrangements, and management incentive plans.
  • Oversee comprehensive transaction due diligence, including contract review and issue identification, and manage SEC filings (e.g., proxy statements, Form 8-K, Form S-4) for publicly listed clients. Coordinate antitrust (HSR) and foreign direct investment (CFIUS) filings.
  • Provide specialized advice on M&A infrastructure and project finance deals, including debt finance aspects and related documentation.
  • Work with clients across diverse sectors such as infrastructure, renewables, oil and gas, tech, health, semiconductors, and cybersecurity.
  • Serve as a primary client contact, engage in business development efforts, and lead and mentor multi-jurisdictional teams of up to 20 junior associates, legal assistants, and staff attorneys.
  • Requires a J.D., LL.M., or U.S. equivalent in law, and New York State Bar admission.
  • Minimum 3 years of professional experience as an Attorney or Associate at an international law firm, advising corporate clients on M&A matters.
  • Requires 3 years of experience representing U.S. and foreign corporate clients in large-capital and mid-capital domestic and cross-border public company M&A, including corporate restructurings, leveraged buyouts, private equity investments, and corporate governance.
  • Requires 3 years of experience advising on M&A deals in the Asia-Pacific and Middle East regions, particularly for sovereign wealth fund clients.
  • Annual salary range: $310,000 - $390,000.
  • This role is based in New York, NY, with telecommuting permitted up to one day per week.
