Overview

The firm operates from over 40 global locations.
The practice focuses on complex cross-border work.
Represent and advise private equity sponsors, their portfolio companies, corporate borrowers, major commercial and investment banks, and direct lenders.
Work on debt financing transactions, primarily domestic and cross-border leveraged financings.
Draft, review, and negotiate commitment letters, term sheets, primary loan and security documentation, and ancillary deliverables.
Prepare and review issues lists and summary grids.
Conduct legal research as needed for client matters.
Manage transaction teams and processes from initial discussions through closing and post-closing matters.
Conduct due diligence.
Serve as a primary point of contact for clients, opposing counsel, and other transactional legal teams.
Assist clients with ongoing deal administration, including joinders, amendments, interpretive questions, and collateral matters.
Review initial drafts of credit agreements and other loan documents for various transactions, including first and second lien structures, bank financing, and asset-based transactions.
Prepare revised drafts of documents reflecting client comments.
Provide direct assistance to senior lawyers on client matters.
Attend and present educational seminars.
Engage directly with clients, opposing counsel, and third parties.
Mentor and train junior team members.
Attend and participate in continuing legal education classes.
Participate in client development initiatives.
Annual salary range is $310,000 to $390,000.
Exempt roles are eligible for performance bonuses.

J.D., LL.M., or U.S. equivalent law degree is required.
New York State Bar admission is required.
Minimum of 3 years of professional experience as an Attorney, Associate, Law Clerk, Foreign Legal Consultant, or similar position.
Required experience includes providing legal advice at a law firm.
Required experience includes managing and negotiating domestic and cross-border debt financing transactions.
3 years of professional experience advising large, mid, and small cap private equity sponsors, corporate borrowers, and commercial/investment banks is required.
Experience advising clients across the energy/infrastructure, manufacturing, technology, financial services, and telecommunications industries is required.
Experience on all aspects of transactions and the financing life cycle, on both borrower and lender sides, is required.
3 years of professional experience overseeing multiple complex legal projects is required.
Project experience must include debt restructurings, asset-based lending, acquisition financing, general syndicated lending, capital markets offerings, and direct lending transactions.
3 years of professional experience training junior associates and legal assistants on debt financing transaction administration and execution is required.
3 years of professional experience providing guidance on deal administration matters, including joinders, amendments, interpretive questions, liability management, and collateral issues, is required.
3 years of professional experience structuring and advising on cross-border financing transactions is required.
Familiarity with global issues related to secured transactions and lending is required.
Experience working with LMA-style UK-law secured financings is required.
Experience working with cross-border teams and international clients from diverse jurisdictions is required.
