  • WilmerHale's Tax practice is seeking an associate with 3 to 6 years of post-JD experience.
  • The position is available in the firm's Washington, DC, Boston, or New York offices.
  • This role operates under a hybrid work model.
  • Required experience includes executive compensation and equity incentive arrangements in connection with public and private M&A transactions, spin-offs, and other corporate deals.
  • Responsibilities involve designing, drafting, and administering equity incentive plans, award agreements, and executive employment, severance, and change in control agreements.
  • Candidates must advise on Internal Revenue Code Sections 83, 421-424, 409A, 280G, and 162(m).
  • Providing advice on tax-qualified and nonqualified retirement plans, welfare plans, and related compliance matters is also expected.
  • The role requires direct client interaction and coordination with corporate, tax, and securities teams.
  • Applicants must hold a Juris Doctor and be licensed to practice law in the state or jurisdiction of hire.
