Senior Corporate Paralegal position based in New York, operating on a hybrid work schedule.
Work within the Corporate Department of Wilson Sonsini, a global law firm advising technology, life sciences, and growth companies, as well as their investors.
Support attorneys on client matters related to company formations, equity and debt financings, mergers, public offerings, and due diligence/closing processes.
Manage corporate documents (e.g., charter, board, shareholder actions), handle stock and option administration, and assist with public company governance filings like Section 16 reporting, D&O questionnaires, and proxy statements.
Oversee capitalization processes and records using equity management platforms such as Carta and Shareworks, including Rule 701 analysis and responding to client inquiries.
Prepare corporate and securities filings, including assisting with EDGAR code applications and managing accounts.
Minimum 7 years of corporate paralegal experience at a law firm, combined with a Bachelor’s Degree or Paralegal Certificate.
Requires a strong understanding of corporate tasks for private companies, corporate governance, transactional work, securities and corporate laws, and proficiency in Excel.
The anticipated hourly pay range is $56.31 – $76.19, with potential for overtime and a discretionary year-end performance bonus.
