Overview

Assist attorneys with all aspects of finance and securitization transactions, from initiation through closing.
Manage key transaction documents, including conducting and analyzing UCC searches, preparing and filing UCC-1/UCC-3 statements, and obtaining good standing certificates across jurisdictions.
Support transaction flow by preparing and compiling execution versions of agreements, drafting specimens of Notes, creating and distributing signature page packets, and coordinating Indemnification agreements.
Handle closing and post-closing tasks such as preparing SS4 applications, applying for Employer Identification Numbers (EINs), ordering and tracking CUSIPS, managing data rooms, completing 15g Redactions, reviewing Reliance Letters, and assembling digital and hard copy closing binders.
Perform comprehensive document management, including setting up and organizing iManage folders, pulling precedent documents, establishing naming conventions, saving transaction-specific letters, proofreading, redlining, and comparing documents.
Liaise with external vendors for attorney and client requests, manage vendor invoices, prepare email and written correspondence for document distribution, and assist with DocuSign processes.
A Bachelor's degree and at least one year of experience in a legal or professional environment are required.
Proficiency in Microsoft Word, Excel, PowerPoint, and Outlook is preferred, along with familiarity with web-based collaboration and AI-enabled productivity tools.
This is a full-time, in-office role, requiring 5 days per week on-site.
The target annual salary range for this New York City-based role is $60,000-$70,000, inclusive of a comprehensive healthcare benefits package, a yearly retirement contribution, and a potential annual discretionary merit bonus.
Professional conduct is paramount, requiring adherence to ethical standards (Rules of Professional Conduct), maintaining client confidentiality, and accurate timekeeping. Notary public services are a plus if commissioned.
The role demands excellent organizational skills, the ability to manage multiple priorities under pressure, strong communication abilities, independent work while collaborating effectively, and a willingness to work overtime and travel as needed.
