Overview

  • This is a Mid-level Associate to Counsel position within a nationally recognized Tax practice.
  • The role focuses on renewable energy transactions and federal tax credit monetization structures.
  • You will advise clients on federal income tax aspects of renewable energy deals, including ITC/PTC qualification, structuring, and compliance.
  • Responsibilities include counseling sponsors, investors, and lenders on tax credit transferability, direct pay, and monetization strategies.
  • You will analyze and apply complex Internal Revenue Code provisions (e.g., Sections 45Y, 48E, 45X, 45Z) and Treasury Regulations.
  • Experience involves drafting and negotiating transaction documents such as Build Transfer Agreements, Tax Credit Purchase Agreements, Partnership/LLC Agreements, and tax equity investment agreements, plus advising on state and local taxes for renewable energy projects and M&A.
  • Candidates must have a JD from an accredited law school, strong academic credentials, and 5+ years of relevant tax experience at a law firm.
  • Required experience includes renewable energy tax credits (project development/operation context), tax credit transfers, complex transactional tax matters, and familiarity with ITCs/PTCs and related IRS guidance.
  • Key skills include strong analytical, technical tax, drafting, negotiation, and communication abilities, with proven experience managing multiple transactions under deadlines.
  • Active bar admission in the office jurisdiction (or eligibility to waive in) is required.
  • The estimated base compensation range for an Associate with 4-6 years of experience is $215,000 to $310,000.
