Overview

  • This is an Incentives associate attorney position in Clifford Chance's New York office.
  • You will join the firm's Tax, Pensions, Employment & Incentives Group.
  • The role involves advising public and private companies globally on remuneration, incentives, and employment tax matters.
  • Work includes advising on remuneration policy, incentive design and operation, corporate governance, regulatory issues, disclosure, and executive hires/exits.
  • Responsibilities cover legal, regulatory, and tax aspects of compensation, including share-based and cash compensation (e.g., all-employee plans, LTIPs, MIPs, deferred, and bespoke arrangements).
  • You will handle standalone advisory matters and compensation aspects of major corporate transactions such as M&A, IPOs, and other transformational events.
  • Required qualifications include a J.D. from an accredited US law school, high academic achievement, and admission to the New York Bar (or ability to waive in).
  • Candidates must possess experience in Executive Compensation, specifically designing, structuring, and implementing equity-based compensation alternatives, and expertise in employment, retention, and separation agreements.
  • Strong public and private M&A experience is also essential.
  • Prior experience at a peer law firm is required.
  • Preferred class years for this role are 2021-2023.
  • The salary range for this role is $260,000-$365,000, commensurate with qualifications and relevant experience.
