Requires 3-5 years of experience focusing on executive compensation and employee benefits matters.
Work will primarily involve transaction-related matters, largely for middle market M&A deals.
Responsibilities include advising private equity sponsors on executive compensation and employee benefits.
Conducting due diligence in mergers and acquisitions is a core function.
Drafting, negotiating, and counseling on executive compensation arrangements, including equity, incentive, and nonqualified deferred compensation.
Providing guidance on Section 280G and 409A issues.
Researching and counseling on compliance with the Internal Revenue Code, ERISA, and securities laws relevant to executive compensation and employee benefit plans.
Supporting the firm's broader corporate practice across public company, sports, and venture capital matters.
